Resulty B.V. Terms of Service

Welcome to Resulty! These Terms of Service ("Terms") govern your access to and use of the public relations services provided by Resulty B.V. ("Resulty," "we," "us," or "our"), located at Richterlaan 3-19, 9207JT, Netherlands. By using our services, you agree to be bound by these Terms and all applicable laws and regulations.

    Services
    Resulty provides a range of subscription and project-based public relations services, including but not limited to media relations, review management, social media management, content creation, brand strategy, and crisis management. The specific services to be provided will be outlined in your Service Agreement.
  2. 2.
    Payment Terms
    • Fees: Detailed in your Service Agreement. All fees are non-refundable unless otherwise specified.
    • Billing Cycle: Payments are due as per the selected Billing Cycle at checkout—options include monthly, quarterly, semi-annual, and annual cycles.
    • Late Payments: Incurs a charge of $150 per missed payment and interest at 1.5% per month on the outstanding balance.
  3. 3.
    Client Responsibilities
    You agree to cooperate fully, provide necessary information promptly, and ensure that the information you provide is accurate and complete.
  4. 4.
    Intellectual Property
    • Ownership: You retain all rights to original materials you provide. We hold rights to materials we create until full payment.
    • Use of Materials: We grant you a non-exclusive license to use project results as agreed upon, contingent on full payment.
  5. 5.
    Confidentiality
    Both parties agree to maintain the confidentiality of all proprietary information shared during the engagement. This obligation persists indefinitely beyond the termination of our agreement.
  6. 6.
    Cancellations and Refunds
    • Cancellation: Services can be canceled with notice as specified in the Service Agreement. No refunds for completed billing cycles.
    • Refunds: Specified under certain conditions in the Service Agreement and related schedules.
  7. 7.
    Limitation of Liability
    Resulty will not be liable for any indirect, incidental, consequential, or punitive damages arising from or connected to these services.
  8. 8.
    Indemnification
    You agree to indemnify and hold harmless Resulty from any claims, damages, or expenses arising from your use of our services or your breach of these Terms.
  9. 9.
    Amendments
    We may amend these Terms at any time by posting a revised version on our website. Continued use of our services after such changes will constitute your acceptance of the new Terms.
  10. 10.
    Governing Law
    These Terms are governed by the laws of the Netherlands, without regard to its conflict of laws principles. Any disputes will be handled in the courts of the Netherlands.

    Miscellaneous
    • Electronic Communications: You consent to receive communications from us electronically and agree that all agreements and notices communicated electronically satisfy any legal requirement that such communications be in writing.
    • Entire Agreement: These Terms constitute the entire agreement between you and Resulty regarding our services.
